IPOB.B + IPOB.C

Evening all. I've spent the past few weeks researching the IPOB.B & IPOB.C SPACs. I have no idea what companies these will be yet...but the fact that Chamath Palihapitiya & Ian Osbourne are partnering on these offer me some reassurance on their potential. This is especially true for Palihapitiya because he is a former Facebook executive with significant social capital in the tech space. Warrants for both recently started trading but note in the SEC filings that it is possible that the SPACs could compete for potential acquisition targets.

You got the announcement on IPOB!  Nice!  I was too slow on the DD.

I'm less interested in IPOC because it will be an international one.  The American plays always perform better.

I agree @TheCap -- not sure if NextDoor is great....though it's right in line with his target sector he said, so...

NextDoor seems to be in a competitive space but I think it could be a winner. IPOC could potentially be exciting, I need to do some more research on TechCrunch but Zomato (the Indian food delivery business) could be a potential acquisition target.

It is certainly in his wheelhouse. Just seems too dependent on outside market factors. 

Does the size of IPOC help eliminate the effect of an international partner entity?

I missed this during the trading day but warrants for IPOB and IPOC were up 37 and 22% respectively. I glanced at Stocktwits and there's [unsubstantiated] talk that one target could be Coinbase.

I'd heard of this one, didn't realize it had finally gone public.

There's two different SPACs here.

The first is IPOB - Social Capital Hedosophia Holdings Corp. II

Based on most recent 10Q:
  • As of June 4, 2020, there were 41,400,000 Class A ordinary shares, $0.0001 par value per share, and 10,350,000 Class B ordinary shares, $0.0001 par value per share, issued and outstanding.
  • Raised $414M total
  • the Company intends to focus on businesses in the technology industries primarily located in the United States

The second is IPOB - Social Capital Hedosophia Holdings Corp. III

Based on most recent 10Q:
  • As of June 4, 2020, there were 82,800,000 Class A ordinary shares, $0.0001 par value per share, and 20,700,000 Class B ordinary shares, $0.0001 par value per share, issued and outstanding.
  • Raised $720M total
  • The Company intends to focus on businesses in the technology industries primarily located outside the United States.

These SPACs can take up to 2 years to get any definitives signed - it just went public - what's your time frame on this?

SPACs ("Special Purpose Acquisition Companies") are blank check companies that have cash in them and are seeing a target to acquire.  These can be fun because it's a 🕵️‍♀️ game of who they're going to acquire.  It can be profitable if the target company ends up being something in a hot space.  

Make sure to do your DD on management behind the SPAC, cash position, and target sector.
