NGA - Lion Electric - DD (January 2021)

A continuation of December's DD - https://stonks.chat/symbol/NGA/posts/31

With the filing of their F/4 on January 4, 2021, clock has started now on getting a merger vote date.  I'd guess around end of Feb/early March 2021 based on current information.

NGA CEO was supposed to be on Cramer's Mad Money on January 6, 2021, but Cramer's show was cancelled for the evening due to events at Capitol today.

I'd guess it will air on Thursday during Mad Money, but we'll see.

This really killed the momentum the stock had yesterday.  I'm hoping it can pick back up stronger.

Article in GreenBiz (January 6, 2021)

Lion got its start making electric school buses and has delivered major orders to the Twin Rivers Unified School District in Sacramento, California, and White Plains School District in White Plains, New York. More recently it unveiled an electric delivery truck and scored orders with Amazon and Canadian logistics provider CN.

While Lion Electric already has a factory in Montreal that can make 2,500 e-buses and trucks a year, the company tells GreenBiz it plans to expand into the U.S. by buying and converting an American factory that could be large enough to make 20,000 vehicles a year. Lion will unveil more details about where exactly that factory could be in the coming weeks, although vehicle production there probably won't start for a couple of years.

Lion Electric said it had 300 purchase orders for up to 6,000 vehicles at the time of its SPAC merger announcement. The company sees 2021 revenue hitting $204 million from 650 units sold and 2023 revenue hitting $1.67 billion from 7,580 units sold.3

The filing calls for the purchase of up to 2,500 Lion 6 and Lion 8 electric trucks from Lion Electric. Amazon Logistics is listed as the specified customer after being unnamed in previous Northern Genesis filings.

Under the terms of the deal, Lion Electric is required to reserve a portion of its manufacturing capacity for up to 500 trucks per year from 2021 to 2025. The deal calls for Lion Electric to provide the greater of 500 trucks per year of 10% of manufacturing capacity from 2026 to 2030.

NGA filed their F/4 (foreign version of S/4) on Monday morning: sec.report/Document/0001213900...

Buried in the filing was surprise information about $AMZN deal.  Benzinga did a great job summarizing it:
